1. The service
Fleetonomy provides software for fleet operators including vehicle and driver records, trip planning, live telematics, alerts, fuel and maintenance logs, document storage, M-Pesa payment workflows, team invitations, REST/MCP integrations, and progressive web app (PWA) features for mobile users. Available features depend on your subscription plan and tenant configuration.
2. Accounts and workspaces
- You must provide accurate registration information and keep credentials confidential.
- You are responsible for activity under your user account and tenant workspace, including actions by invited members.
- Notify us promptly at info@vasmetering.com if you suspect unauthorised access.
- We may suspend or terminate accounts that violate these Terms or pose a security risk.
3. Roles: platform operator vs tenant
Tenant customers (fleet operators, logistics companies, and other organisations) typically act as the data controller for personal data they upload about drivers, staff, and customers. VAS acts as a data processor when handling that tenant data on your instructions, subject to these Terms and our Privacy policy.
VAS is the data controller for platform account data (sign-in details, billing contact, usage logs) and for marketing communications you receive from us directly.
4. Acceptable use
You agree not to:
- Use Fleetonomy unlawfully or in violation of transport, labour, or privacy laws applicable in Kenya or other countries where you operate.
- Upload false vehicle, driver, or compliance records, or misuse telematics to track individuals without a lawful basis and appropriate notice.
- Attempt to bypass security, probe other tenants' data, abuse API rate limits, or interfere with platform availability.
- Resell or sublicense the platform except as expressly permitted in an enterprise agreement.
5. Telematics, location data, and driver consent
Features such as live maps and driver GPS capture process location data. As tenant controller, you are responsible for:
- Informing drivers and other tracked persons why location is collected, who receives it, and how long it is retained.
- Obtaining valid consent or another lawful basis before enabling tracking, especially under the Kenya Data Protection Act, 2019.
- Using in-app "Tracking ON" indicators and workplace policies appropriate to your jurisdiction.
NTSA, RECTS, and other regulatory integrations referenced in marketing may be marked "Coming soon" until formally released. You remain responsible for independent compliance with transport regulations.
6. Data protection and privacy
Our collection and use of personal data is described in the Privacy policy and Cookie policy. Where the Kenya Data Protection Act, 2019 applies, VAS registers with the ODPC as required and maintains appropriate technical and organisational measures.
If you process personal data of individuals in Uganda, Tanzania, Rwanda, or other East African states, you must comply with local data protection laws in addition to these Terms.
7. Subprocessors and hosting
We use trusted subprocessors to deliver the service, including cloud infrastructure and authentication providers (e.g. Google Firebase / Google Cloud). Subprocessors are bound by contractual obligations consistent with the DPA. A current summary is available on request at info@vasmetering.com.
8. Billing, trials, and payments
- Paid plans renew according to the billing cycle selected unless cancelled before renewal.
- Free trials convert to paid plans unless cancelled before the trial end date shown in your tenant subscription.
- M-Pesa, bank transfer, and other payment instructions are published at Payment details. We do not store full mobile-money PINs or card PANs.
- Fees are quoted in Kenyan Shillings unless otherwise stated. Applicable taxes are your responsibility unless we state otherwise.
9. Service levels and changes
We aim for high availability but do not guarantee uninterrupted service. Planned maintenance, third-party outages (including Safaricom Daraja or Firebase), and force majeure may affect availability. We may modify features with reasonable notice for material changes affecting paid plans.
10. Intellectual property
Fleetonomy, its branding, software, and documentation are owned by VAS or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the platform for your internal business operations during an active subscription. You retain ownership of data you upload.
11. Limitation of liability
To the fullest extent permitted by the laws of Kenya, the service is provided on an "as is" and "as available" basis. VAS is not liable for indirect, incidental, or consequential damages, including lost profits or data loss arising from telematics or third-party integrations.
Our aggregate liability for any claim relating to the service is limited to the fees you paid to VAS for Fleetonomy in the twelve (12) months before the event giving rise to the claim, except where liability cannot be limited by law.
12. Indemnity
You agree to indemnify VAS against claims arising from your unlawful use of the platform, your failure to obtain required consents for driver or customer data, or your breach of these Terms.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Kenya. Parties shall first attempt to resolve disputes amicably. Failing that, courts in Nairobi, Kenya shall have exclusive jurisdiction, without prejudice to mandatory consumer protections in your country of residence where applicable.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance. If you disagree, stop using the service and request account closure at info@vasmetering.com.
